About Us

Uma casa brasileira de real estate structuring.

A MHESBLAS Investments focuses on identifying and structuring opportunities involving properties in judicial and nonjudicial auctions and strategic transactions in the Brazilian real estate market. We combine technical expertise, financial discipline, and rigorous legal analysis to turn opportunities into sound investments.

We seek to acquire discounted assets, using An SPE for each transaction, governance, legal safeguards, and full transparency for investors and partners — each asset is treated as a standalone investment thesis, with its own metrics and full alignment of interests.

About Us

Real estate investments structured with strategy, technical analysis, and legal safeguards.

About MHESBLAS Investments

MHESBLAS Investments is an investment firm specializing in identifying, analyzing, structuring, acquiring, resolving compliance issues for, and enhancing the value of real estate assets.

Our focus is not traditional real estate brokerage. We participate directly in structuring transactions, evaluating the commercial, financial, documentation, and legal aspects of each opportunity.

We seek properties whose commercial, ownership, documentation, or legal circumstances may offer the potential for acquisition on favorable terms and possible appreciation after outstanding issues are resolved, the property is restored, or it is repositioned in the market.

Positioning

We are not a traditional real estate agency

MHESBLAS Investments does more than advertise or broker properties owned by third parties.

Our work focuses on structuring and participating in our own real estate investment transactions, from asset identification through acquisition, resolution of outstanding issues, value enhancement, and the final transaction.

What do we do?

In simple terms, we identify properties with potential, analyze transaction risks and costs, structure the acquisition, resolve outstanding issues, and prepare the asset for a new economic use.

Depending on the property's characteristics, the strategy may involve resolving documentation issues, negotiating debts, lawfully obtaining vacant possession, renovation, modernization, leasing, sale, asset exchange, or integration into a new development.

Our goal is to transform complex real estate situations into organized, legally compliant, and economically viable assets.

Where we identify opportunities

Our activities may involve:

  • Properties acquired directly from real estate developers and construction companies on favorable commercial terms
  • Residential and commercial units and studio apartments located in areas with potential for appreciation and income generation
  • Properties sourced through judicial and nonjudicial auctions
  • Properties involved in probate, estate distribution, and succession proceedings
  • Properties involved in adverse possession proceedings
  • Properties with outstanding condominium fees, taxes, bank debt, or other obligations
  • Financed properties or properties subject to fiduciary transfer of title as security, where the transaction is deemed feasible
  • Properties subject to attachments, asset-freezing orders, or other judicial and nonjudicial restrictions
  • Assets requiring documentation, land registry, or urban planning compliance issues to be resolved
  • Properties requiring vacancy, renovation, modernization, or market repositioning

The existence of debt, a restriction, or a discount does not, in itself, mean that a property will be acquired. Each opportunity undergoes individual analysis before any decision is made.

How our analysis works

Before participating in a transaction, MHESBLAS Investments may undertake the following, as applicable:

  • Review of the current property registry record
  • Verification of ownership and chain of title
  • Identification of lawsuits, attachments, asset-freezing orders, and restrictions
  • Review of probate, estate distribution, adverse possession, or auction proceedings
  • Identification of outstanding condominium fees, taxes, bank debt, and registry fees
  • Assessment of the property's occupancy status
  • Study of market value and appreciation potential
  • Estimate of acquisition, compliance resolution, renovation, and maintenance costs
  • Assessment of legal, financial, and commercial risks
  • Definition of the strategy for resolving outstanding issues and conducting a future transaction involving the asset

Only after this analysis is a decision made to acquire, participate, negotiate, or decline the opportunity.

What is an SPE?

SPE stands for Sociedade de Propósito Específico, a Brazilian special purpose entity.

In simple terms, it is a company established to carry out a specific transaction, project, or development.

Where applicable, a real estate development may be structured through its own SPE, allowing the project to have a specific corporate purpose and separate documentation, contracts, obligations, revenue, expenses, and controls.

This arrangement provides greater clarity in managing the development and defining each participant's responsibilities.

A structure recognized under Brazilian law

The use of special purpose entities is permitted under the Brazilian legal system.

Its general legal basis is set forth in Law No. 10.406/2002 — Brazilian Civil Code — particularly Article 981 and its sole paragraph, which permit a company to be formed to conduct economic activity limited to carrying out one or more specific business transactions.

An SPE is not a separate legal entity type. It must adopt a corporate form provided for under Brazilian law.

When formed as a Brazilian limited liability company, it is subject to Articles 1.052 et seq. of the Civil Code. When formed as a Brazilian corporation, it is subject to the provisions of Law No. 6.404/1976 — Brazilian Corporations Law.

Each SPE must be formally established and registered, with articles of association or bylaws, a defined corporate purpose, and compliance with applicable corporate, accounting, fiscal, and tax obligations.

At MHESBLAS Investments, an SPE may be used depending on each project's characteristics and following legal, accounting, tax, documentation, and financial analysis.

An SPE is not an informal arrangement.

It is a company formally established for a specific purpose, subject to registration, corporate documentation, accounting requirements, and compliance with obligations under Brazilian law.

Forming an SPE does not eliminate the risks inherent in a real estate transaction. Each project's feasibility depends on documentation, costs, timelines, resolution of the asset's outstanding compliance issues, and market conditions.

How a transaction may be structured

Each development is analyzed individually and may have its own structure. Depending on the project's characteristics, the transaction may involve:

  1. 1

    Opportunity identification

  2. 2

    Commercial and real estate evaluation

  3. 3

    Legal and document review

  4. 4

    Cost and risk estimation

  5. 5

    Corporate and contractual structuring

  6. 6

Formation of an SPE, where applicable

  7. 7

    Asset acquisition

  8. 8

    Resolution of outstanding issues

  9. 9

    Renovation, modernization, or repositioning

  10. 10

Sale, lease, asset exchange, or development of a new transaction

The strategy, documents, participants, timelines, and responsibilities are defined according to the specific circumstances of each development.

From acquisition to value enhancement

Following acquisition, activities may include:

  • Resolution of legal, registry, and documentation issues
  • Negotiation or settlement of outstanding debts
  • Resolution of judicial or nonjudicial restrictions
  • Obtaining vacant possession through lawful means
  • Property renovation, modernization, and adaptation
  • Temporary asset management
  • Market repositioning
  • Conventional or short-term leasing, where legally and economically feasible
  • Direct sale
  • Exchange for other assets
  • Integration of the property into a new development

Each asset has its own strategy, defined following technical and market evaluations.

Have a property or situation for review?

Owners, heirs, real estate developers, construction companies, creditors, and other interested parties may submit a property or real estate situation for review by MHESBLAS Investments.

Opportunities may be submitted involving:

  • Probate and estate distribution
  • Adverse Possession
  • Judicial and nonjudicial auctions
  • Outstanding condominium fees or taxes
  • Financing and fiduciary transfers of title as security
  • Attachments and judicial restrictions
  • Occupied properties
  • Properties requiring resolution of compliance issues or renovation
  • Units from real estate developers and construction companies
  • Properties available for sale or exchange

Submitting information does not create an obligation to acquire. The company will analyze the documentation, risks, costs, and feasibility of the transaction before making any offer.

Documents that may be requested

Depending on the type of opportunity, our team may request:

  • Current property registry record
  • Identification document of the owner or representative
  • IPTU property tax payment booklet or certificate
  • Condominium information
  • Financing agreement
  • Court case number
  • Probate, estate distribution, or adverse possession documents
  • Auction notice and documents
  • Photographs and information about the property's condition
  • List of known debts or restrictions

Transparency and responsibility

All transactions are subject to commercial, financial, documentation, accounting, and legal analysis.

MHESBLAS Investments does not guarantee the acquisition of every property submitted and does not guarantee any outcome, appreciation, timeline, or return.

Any projection that may be presented is an estimate based on available information, anticipated costs, and market conditions at the time of analysis.

Third-party participation in transactions or developments may occur only through a dedicated structure, specific contractual documentation, and compliance with applicable law.

For rural producers, business owners, and companies that own a farm, rural property, land, or other real estate, MHESBLAS reviews the assets and develops a capital-raising structure using the real estate as collateral for the transaction.

The structure may be presented to potential investors, including individuals, legal entities, and associations, depending on the characteristics and feasibility of each transaction.

Funds may be used, among other purposes, for:

  • Working capital
  • Farm operating expenses
  • Production expansion
  • Purchase of machinery and equipment

I don't own real estate to offer as collateral

Not having real estate available does not mean the transaction cannot be reviewed.

MHESBLAS may evaluate an alternative structure, including the possibility of acquiring real estate at a discount to market value, to build the asset base and potentially use the property as part of the transaction's collateral structure.

Every transaction must undergo legal, financial, documentary, and asset reviews before it is structured.
